What comes next after filling an LLC?

Hi!

I am a total newbie when it comes to taxes and laws in the US. so, I have a few questions before filling up my LLC to whom has better knowledge than I do... So, I live in the EU and want to fill a foreign LLC in Delaware to make my earnings "legalize" but I have some questions that blow my mind...

1- My main income is dropshipping, I do dropship on Amazon, and this is the reason actually I want to fill an LLC, but since I am not in the US, I will be filling it via Incfile.com, because they are looking legit and cheapest, has anyone used this company before? do you recommend? or do you have any other suggestions?

2- After filling the LLC, I must have a business bank account, is there any way to open a bank account from the EU while not in the US from one of the national banks? If not will Payoneer work fine as a business bank account? I have 2 USD bank details on their platforms, 1 of them has been never used before, will it be work fine?

3- What documents should I have too also fill after launching the LLC in Delaware?

4- Can I provide invoices with this LLC for my other business? I also do websites and SEO gigs for my US-based customers, will it be okay if I create invoices from this company? Because while filling the LLC I will be choosing the main income as an online retail business?

5- What about the address of the LLC? Is that fine if I use my EU address as a business address?


As I said, I am a total newbie when it comes to laws, so your answers are worthful. Especially, who already created LLC's from EU :)

I have found some answers for my questions but some are still missing, so bump bump

Always done fillings myself, but these filling companies are legit. They charge you an arm and a leg ( because they're here and you're not, but whatever).

Question is..why are you incorporating in the US? If you're drop shipping you can just report the income in your current country. Unless you actually want to operate the business in the US and represent yourself as a US business for B2B purposes, this is probably a waste of time.
 
To your other points, you'll need an EIN from the IRS before you can setup a US bank account. You'll have to file 1065s or 1120/1120s depending on how you elect your federal tax status. It's a whole mess of paperwork. You really do have to justify the benefits before doing all this.

You'll need a registered agent in the US to relay any legal matters to you. A LLC is a state-level entity and more about limiting your liability and separating your personal assets from company assets. You have to factor in the federal stuff as well.

Thank you for your reply, I actually want to change my business to FBA, dropshipping on Amazon is amazingly good to make money but it's also quite risky and not worth for losing my account,bc amazon always asking the invoices whatever i sell on the platform and when I don't provide this it means end of my account, so to run an FBA business I need to incorporate in the US, as good option as possible I came across with incorporating in Delaware, they have 1 franchising fee (which is 300$) and no sale taxes, so I will be only paying the $300 on the 1st of June every year but nothing else. but there is another option Wyoming LLC, and to be honest, I don't really understand the difference between filling the LLC in DE or WY. so do you have knowledge about these states which will be better and easier to handle when it comes about "taxes"?

about the FEIN, as soon as I have filled the LLC, I can have it after calling the phone number from Philadelphia. I mean this is what I have read on the internet, not quite sure until I do that and it works for me and till receiving my ein and itin I will be using my payooner bank account, hope it won't be causing a problem changing the routing and account numbers for the llc.

I'm not familiar with Sales/Use Tax laws by state but they vary by state. Also, sales tax is passed on to the customer in the US, it's not built in like it is in Europe with the VAT and all. If you have no business operations in the US, then you probably don't have to pay any taxes at the federal level. But I think you still have to file form 5472. Bank account type shouldn't really matter if it's a US bank or not as long as Amazon can pay out to you. The IRS only cares if you have employees in the US, or a physical presence in the US--then they want a cut.

I would actually ask Amazon when they process orders if they do state tax withholding/calculations for you or even if it's applicable to you. The only other cost I think you'll have is getting a "registered agent" to scan and handle forwarding any mail or notices you may receive. This registered agent gives you a US mailing address that you can provide to Amazon and IRS as your mailing address.
 
2- If you get money from Stripe, then you can link a payoneer account ! US bank account is not needed
5- Yes of course ! Headquarter address is completely different from Business address. You can use any address in the world for your business address.
