Magento can do (1), you can have multiple stores under the same roof and enforce rules to all. You may need to get a plugin for advanced permissions so that each store administrator can be limited to only what you allow.
Be warned though that Magento has a steep learning curve.
Unless I 'm reading it wrong (2) means two separate payments for 1 purchase - haven't seen anything like that.

I would do this in Magento CE, and have already spec'd this out for another client. Don't re-invent the wheel - look for the most expensive paid extension to do this - it will blow your mind. Unfortunately you need a budget of $1k to $3k for the extension.
