Will the theme change affect SEO? Or Rankings?

It may affect your SEO, in a good way if it's optimized better and loads more quickly than the one you're currently using.

If unsure of what you're doing, you can always Hire a Freelancer to help.

Also, check out some of @Festinger's posts, he is giving away themes for free all the time.

Yes, it may effect but positive good design increase bounce rate and speed as well.

It will but not that much. And at sometimes it won't make a single changes, just make sure to check your links structures since some of the themes can bring few new pages to the site.
