UK Business Registration HELP!

Hello,

Good day everyone! We really need to register our business as it is required by most payment gateways. Paypal permanently limited our account and our business is badly in need for a payment option for our website.

Can somebody help? Any piece of advice is hugely appreciated.

Are you running a legit business or something grey hat?
 
Is this what you need? Rapid formations £5 limited company set up?

You can probably get one of the startup card accounts to get a debit card and then user that for PayPal. May well need to get a mail forwarding service though, depending on where you are.

We are selling social Media services. I think it is considered grey hat? We have to use another payment gateway/option but a lot requires business registration.

Please help guys
 
I don't get what you issue is. You just simply register a business with the companies house. Other than that there are plenty of cheap services you can use to register a business. Not that there is any need.

However what you may find is that when you register a business and use the business. Companies like PayPal and shit might want you VAT code.
 
Then this is easy, just google register uk business online. It will not cost you more than 20 pounds to set this up

When you register with companies house you should get a certificate of incorporation, likewise if you register for VAT you will receive a VAT certificate. You’ll also receive a company number and VAT number

You don't need to "register it" unless you have to or have a valid reason to do so, you can run as a sole trader. Just open a UK business bank account and done. All you need to provide PP and any payment gateway is your details and the business details and you're done. Depending on the industry/niche your in if you're selling a digital product or digital service 9/10 you are going to have to provide your own personal information regardless if your a limited company or not...

If your trying to game the system with a limited company at the end of 12 months if you don't file a return the company will get struck off and your back to square one..

We are not using Paypal anymore as they hate the business of selling social media services. They now consider it as high risk business. I will have a call from other card processing options tomorrow. A lot of them requires us for a business registration. Im from Philippines and my boss is from UK. Its really tough but I should be the one to sort this payment processing problem we have.

We can only use card payments right now. Stripe and other gateways seems not happy with social media services too.

Can you elaborate on this. In such case what happens to the company, it gets closed?
 
Not closed, but it would show you as no longer trading. Your business will get struck off the registrar. Banks will get wind and will start to close your account down, but if anyone was to search it on the register it would show you as being struck off. Obtaining credit, dealing with payment gateways and anything and everything else all goes away. Only a problem if you can't / don't file a return.

There was a time that if the business was struck off the register without any objection you could get away without paying any tax, paying your debts and all sorts as in effect the business is no more. It's a bit like a poor mans liquidation. However these days there is so much red tape behind it and director guarantees are required for just about everything, there is little projection a limited company can offer you..

If your boss in the UK I can't see what the problem would be filing a return or just opening up as a sole trader.

Being a sole trader is the only choice. You are absolutely right. I just have to find that payment gateway/processor that accept SMM and being a sole trader. I guess making business registration is tough and not applicable on us.

Note that you technically do still need to register with HMRC that you are self employed if going the sole trader route.
 
Depending on the merchant they might prefer a limited company BUT as above if you registered with HMRC you should have a UTC (unique taxation code - i think) for the business and that's perfectly acceptable as some kind of 'proof'. They could request that a personal security deposit is paid as a sole trader BUT it is common for this to be requested even if your a limited company anyway...

While I wouldn't encourage anyone to make things up, why are you saying that you're in a high risk category?
Surely you do some software development or sell goods on ebay or the like? (I don't know what is low risk, but pick something in that category)

If you go to the bank and ask for an account and say, because I'm doing the next big thing in bitcoin you'll be still talking for 10 years. If you say I'm going to develop some software and sell it you'll walk out with the card in your hand.
They wont close the account unless you do something silly or you make so much money they need to look again, which is a nice problem to have.

Payment Processing (with merchant accounts) there are category classifications which is calculated on many factors and varies from processor to processor "marketing" as a whole is classed as a high risk category, this is because of fraud, money laundering, chargebacks and a host of other reasons. Sometimes (mainly the bank) will require a security deposit (a figure of their choosing can be £1000 - £250,000+) which gets held by the bank for 12-36 months normally until you can establish credibility or have proven cash flow in your account.


I think anything that is classed as a digital service now falls under high risk for payment gateways and merchants. Been a while since I've been involved with helping and obtaining merchant accounts so just going off memory.
