Question About Contract

Hi Everyone,

I have a client that I am going to be preparing a website for. I think some of the content he has provided is questionable as far as copyrights go. Therefore, I want to include a section in the contract to basically say that the content is owned by the client and that proper use of the content is his responsibility so that I am not liable in the future if any action is taken against him for copyright infringement.

Have any of you done something similar? If so can you share appropriate wording for this?

No I do not want to change the content. The client is supplying the content which in this case is music. However I do not think it is all original music and therefore might be questioned by the actual original artist. So I want to cover myself if this were to happen.
 
If you're worried, build the CMS, do the design, let him upload the content.
 
You could use the Pinterst Terms of Service as a template. It basically says "anything you upload is yours and you can't sue Pinterest because someone uploaded a copyright image."

Just put this into the contract:

Customer shall not use the Service in any way that (i) infringes on any third party's copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy, (ii) violates any law, statute, ordinance or regulation, or (iii) is defamatory, trade libelous, unlawfully threatening or unlawfully harassing.
 
OP: pay a lawyer to look through your contract if you're working with shady clients. Last thing you need is a lawsuit from the RIAA with your name listed somewhere under "Defendants".

Operate your business like a real business and get yourself a lawyer. It won't cost you all that much to have them look something over. You can always go with http://www.aaronkellylaw.com who has a great rep in the IM industry.
