Moving Content to new Website

Hi everyone! I built up an expired domain, but its been ranking terribly and I've essentially given up on it.

When I migrate my site, will I get hit with duplicate content penalties if I just copy +paste the previous content onto the new site?

Well the issue is my previous domain isn't ranking at all, and I can't figure out why (don't see any penalties). So I want to be careful with the 301 since I don't want to bring any potential penalties into my new site
 
I would take all the site files edit them to be sure they don't have the name of the old company, correct links and such in them and then upload the new files to the new site. Then I would take the old site offline.
 
I will think that it depends if the pages (content) are indexed or not. Not sure if you will get a penalty, but your new site will not be seen as having the original material. Is something wrong with the expired domain? Is it penalized? If that is the case then I will follow the prior suggestion and clean everything, even the text. If is not, I am not sure that the same content in another domain will do any better. Good luck anyways.
 
You can redirect the link but cant use the same articles. If it got cached and using the same article for your new site then you will be penalized.
