The real question is 20% of what?
What is your site currently earning and what do you project earnings to be upon achieving #1.
Are we talking a 20% share issue or simply profit split. Does the site become communal property, what country is the agreement enforceable in?

Depending on the niche and market, 20% could be a good deal. If it's a 20% total revenue from the site and it's an ongoing commission such as monthly or w/e than it might be an OK deal.
If the site banks $10k/mo than you would make out nicely, better than you would charging $200-500/mo for SEO services. It's not like he needs a site built, content, or anything else. For some people, all we'd have to do is open up a few automated tools and go.
