I guess you need to wait some more time, it does not appear that the site linking out is slapped.
Relevancy doesn't matter at all, take a look at top ranking sites backlink profiles with blatant backlink building. You'll notice relevancy doesn't matter at all.
Is the site with high stats relevant to the other sites? If you are speaking about cats and the other one talks about car wheels links won't have great value.
Is that true that the site really has to be relevant? I always though it was just the anchor text that mattered.

Maybe if a site gets links from a page with too high of PR they work the opposite way?

The site that I am linking from doesn't seem to be penalized. When I do a search for it with site: all the pages show up, so it's not penalized in that sense.
