If I clone a website 100% but change the content so that it fits my area.
For example a local directory for the US, but I make it a local directory for the UK.
It will be considered copy right fermenting if you copy a hundred percent. What you can do is have the same colors similar style that will look a little different layout.
Of course, design and structure is also a kind of "content".
You have the chance to not get caught.. but the other webmaster could easily take your website down through a dmca request.
Judging from your plan to make a directory which is a long-term project, the risk is absolutely not worth it imho. Just think of a way to rebuild the site differently

Other than taking the website down by DMCA, if hes in the UK and I am in KSA for example. Can they sue me? Asking for money or possible jail time? just wondering
