I sell software online and a competitor of mine is threatening to report me to the ftc, I sell software, I do not do anything illegal, should I be worried>?

There is probably a reason he threatened you...
You know you have that weird feeling that you are trying to make go away by letting people tell you, you did nothing wrong or by trying to justify it with yourself... I do that all the time. I recognize that i should probably not be doing something... Then i usually do it anyway but as smart as i can
So what are your competitors claims?
What did they say the reason for threats are?

Cant you charge what ever you like?
If you are not slandering or doing anything to take his business away besides lower cost and better marketing then I don't see a problem.
he better start marketing his service to get business by connecting emotionally and the value not the price if he wants to succeed. Not by threatening you to raise your prices.
You should send him some article on 'how to successfully market a small business' or something and say something like you wish him the best.
I wouldn't worry about it. I would not reply honestly to anything from him or communicate with that company at all in any way. If the FTC does something then take care of it from that point forward and plea your case. I doubt you have anything to worry about.

Doesnt the ftc only do something only if there are massive amount of complaints?

But i am not a legal adviser. I would personally go have a quick sit down with a lawyer that can take a look at what is going on. If you are a legit biz. I think that it would benefit you with piece of mind and put that competitor to rest if you have a lawyer send him a letter with a counter claim of threatening you or stating the facts that the he has no basis to threaten you in the first place.

IANAL, but I wouldn't sweat it. Your options are to close down shop over an empty threat or keep plowing ahead.
One thing I would advise is completely ignoring any correspondence from this person. The last thing you want to do is escalate a hostile situation and somehow give them some data to hold over your head.

There really is no need to over complicate this, it is very easy.
If the quoted statement above is true, you have NOTHING to worry about.
If it ISN'T true, then you do.
