Good question - depends on how much money I think you have available for the project. 
Seriously though really does depend on what functionality you would like to keep ...forums, members area? What platform would you like? HTML/Wordpress/Drupal/Joomla? Factors are a plenty but for 15k and I will hand deliver a copy to your door. lol

Don't clone the site, just find a theme that does the same job. It will be a lot cheaper and will definitely avoid legal issues!

Better not to clone other site because some functions are based on the owners ease. You should opt for getting a similar theme and then add all your requirements.
