My competitor contacted to one of my newer blog sites contacted me and said he wanted me to drop my site and write blogs for him. He is established and has way more traffic than me. (pr3 site)
I'm not going to give up my site but I'm trying to figure out ways that will benefit us both. I've already thought about a link exchange, any other ideas? His niche is more broad than mine, my niche is a sub-niche of his, if that makes any sense.

How much he is willing to pay. Does it benefit you if you write articles for him. Thing before accepting the offer.
BTW rank your site higher then him in serps.

Concrete, this is probably one of the best positions you could be in, but certainly tricky.

Here is how I would approach your situation.

1. Determine the long term value of you ranking your website
2. Compare that with what he is willing to pay to determine whether your first option is viable
3. If you are ranking this well, pass on the deal and keep moving forward. Over time you will continue to rank well and the offer might get better.
4. Depending on how you monetize, try and find better methods, and if you are looking to see your site, contact the advertisers that you are promoting on your site and see if they are interested in selling.
5. Once you sell the sight, go back to the other guy and offer to do his SEO, since you obvious know how to do it better than him.

There are probably more options!

If your competitor wants you to just drop the site (means doesn't want to buy your domain), transfer the domain to one of your close friends or family members and continue it in parallel. Meanwhile accept the offer from your competitor and write articles for him, double money bingo...
 
Having your own site is almost always more profitable than being somebody's content writer. If you are considering this, it implies that your site isn't that profitable, in which case I think your time is better spent figuring out new ways to monetize your site, rank it better, or finding a new niche, instead of promoting somebody else's business.

At the very least I'd want some assurance that he's not going to screw you over and stop paying you after your site is offline and falls in the rankings.

I don't think he is trying to pay anything, though he offered to pay for my site's expenses. Honestly I think he was just trying to get rid of some competition and receive a free blogger in the process. My articles are very good as this is a hobby of mine and I know what I am talking about.
I was recently disabled from adsense and I am trying to get my traffic up before I appeal or go the business route (I have a business but the disabled account was my personal one). I think traffic had to do with my account being disabled so I want to fix that before I try again. At the moment I get about 500 views a day but they are from forums, reddit, etc and not google. The serps are kinda saturated in this niche and it is going to take a while to catch up, right now i'm not even top 50 in serps but since the content is quality I think I can do it.

My domain is branded so this wouldn't really work well. Plus I don't really have any interest in giving up the site, I am just trying to figure out ways that I can benefit from this offer.

My site is new (one month old)
Not ranked well (not even in top 50)
Don't want to find a new niche, it is a hobby of mine for the past decade+ and I am knowledgeable on the subject. I have other sites too, this is just a newer one.
And as I said, I have no interest in dropping my site.

There aren't many options if you want to both continue your site (being an competitor) and also to get benefited from this offer. If you are sure your site makes money and 'll continue to, just ignore the offer and focus on improving your site further... If you are unsure of making money from your site, offer him a ONE TIME charge to drop your site and accept the offer to write article for him with a contract in place.

Because I have a lot of knowledge on the subject. He wants to make me his lead writer for my subject.
I have already turned down his offer to drop my site, that was never on the table for me. What I am asking is if you guys have any ideas on how to gain more traffic from working with him besides a link exchange. I was thinking about guest blogging on his site and referring people to my site in the blogs.

I'll give you guys an example of what i am talking about..
let's say that his site is a sports site with blogs and reports about all of the teams in New York of all sports, baseball, football, basketball, hockey, etc.
My site is about the Yankees.

See what I am saying? He wants be to be the lead Yankee blogger.
 
He'll be making money off your work for years, and you won't.

Do you want to work at the McDonalds, or do you want to own the McDonalds?
 
What B Friendly said. Don't go work for the man. You have something he needs. Make him the b*tch not the other way around, to put it bluntly ;-) With your knowledge and passion around your niche, there's gotta be a lot of monetization potential. The natural authority you can present should help you garner traffic as you work it on social media, etc. and you build up a following.

You could offer to be a regular guest blogger in exchange for do-follow backlinks. Or sell him a sponsorship spot. And then start up a podcast and sell him ad spots on that too.

subreddit and specific forums is how he knows me. We share quite a few of the same viewers. I'm made my presence known in that community.

Right, this is what I was thinking. Really it would be a great way to reach out to viewers who haven't heard of me yet. No plans to work for him though, just collaborate in a away that is amicable.
