Filing Requirements for Non-Resident LLC in Wyoming

Hello everyone,

I recently formed a non-resident LLC in Wyoming and I'm trying to understand my filing requirements to ensure I stay compliant. Can anyone provide a summary of the necessary filing forms and their deadlines, both for state and federal requirements?

In Wyoming you need to file an annual report with the secretary of state. You'll need a 1040-NR for taxes, and think about nexus sales tax if you're selling in multiple states. You may also fall under foreign bank account reporting.

I would need to know the business type to give more detailed answers. The state of Wyoming is very business friendly so after the set up there is little you need to do with the state. It's mostly federal you'd need to be aware of and any regulations.

If you've just formed an LLC, then this is not the place to ask.

You should have an accountant doing your yearly filings.

Just want to see if anyone here can help to get better understanding about the whole process since the companies that open the LLC don’t seem to care.

That's why it's best to use an accountant to open companies for you. They not only open it, but they manage it and you use their office address for your business mailing and debit card address.

You can sell in the US. You don't pay tax if you do.
 
Form 5472 if you are an alien non-resident which is done before end of March. State filing which is done before end of November.

However talk to an expert. I pay my guy 500 usd for 2 company filings per year.

I’m selling digital products on Shopify outside of US (in EU). Its a single member LLC
You don't have to pay taxes in this scenario, but as far as I can remember, you have to fill a form that is just for informative purposes. You only need a CPA consultation to explain what and how you are selling this and know how to fill the form. It can cost you around $100-200. If you don't want to care about having to do this by yourself, just get the CPA to do it for you but it's not very difficult or time-consuming.

Personally, I found that having to report everything to the CPA was, by far the task that took most of my time. Once the CPA had all the information gathered, filling forms was 30 minutes.

Yes. But i give him everything and he just files. I give him all statements complied. Found him on Upworks. Been using him for 3+ years now.

But i pay seperately - 35 usd per month for mailroom and 150 usd per year for Wyoming registered agent

Mine too. It doesn't include bookkeeping. I have to give a completed balance sheet and income statement and it has to make sense otherwise he just rejects without saying anything.
