I am offering my adsense account to someone for 50% earnings share. Guy seems good so far. Please give me some idea what question should I ask him before JV? so far I've found site is legit, and unique content, whitehat seo followed. Am I missing anything ?
    Thanks for any comments .

It's an Algo, of course it can be gamed.

Proof of traffic source comes to mind (statcounter, analytics), also, find his website from the searches and visit that way to get the same referrer a visitor would have and make sure it doesn't show anything different (possibly a script clicking on the ads).

Yes definitely check the traffic sources as Google isn't a massive fan of bought traffic. Also if you do join the JV make sure you monitor the CTR and make sure it is definitely below 10%.

Also make sure there are only 3 banners to a page as more can cause bans.

Maybe agree a contract, specifying who does what, and how often the payments will process from A to B, etc...

Don't offer your account - ever. It's your account and that's the end of it. If you're selling the account, that's different. Just provide screenshots and/or setup automated performance reporting. You can allow a 3rd party limited access as well if needed, but I've never had to go that far.
