Setting up LCC or S-Coorperation in Nevada

    Hi,

    I am about to set up either a LLC or S-Cooperation in Nevada. I would like to know whether you know of anyone that offers "virtual offices" there? I need an address to receive my business licenses ...

    uptown seems to be the resident llc, Inc, etc expert... Man of many trades it seems

    Depending on who you set it up through, they may offer that service as part of your yearly fees.

    Your 'registered agent' will handle mailings and through them you will have a physical address for mailings.

    Most "registered agents" do not allow you to use their address to register your business under... I found a few "mailbox with street address places" but that is not enough to receive a business license .... I found one place where they charge you $45-$75/month for an virtual office .... but I am hoping to find something cheaper then that ....

    To my knowledge, Uptownbulker is only in Kansas active and his packages include more then I need ...

    However, most of these places don't give you a "office lease", which you'll need in Nevada to get a business license ... such as an wholesale or retail license. I was looking more for something like ...

    if you're looking to established an llc, s or c corp in nevada - here's two great services:

    incfile dotcom is a great source and economical for setting up an llc, c or s corporation

    there is a virtual mail in nevada. their website is maillinkplus dotcom (free resident agent service...)

    Hey, my registered agent receives all the official mail for the corp and the corporation itself has its own mailing address for business matters.

    No business license is necessary in Kansas to file a corporation although you, as the "business agent" in your state for the corporation may need one but I wouldn't worry about it as the interent has changed things drastically!

    Th old image of the corporation being housed in some huge marble building is changing rapidly and thousands of corporations exist virtually, that is, with no real brick-and-mortar facility!

    And perfectly legal!

    We provide registered agent service for one year with renewals priced reasonably along with the year-end corporatae renwal and other required filings.

    I'v also had a number of users ask me how it is that a corporation may pay no tax on its earnings so I put together this little file to explain that and I'll reprint it here. I'm also using ias my "stock" PM reply to the questions and posting it in BST as well.

    "A number of members have asked me just how it is taht a corporation may pay no tax, so I'll try to expain it as best I can for you.

    First a corporation is treated under the law essentially just like a person except that a corporation person has very special rights.

    Corporations take in money and use it to do business and are not taxed on that money until the end of the tax year when the croporation is only taxed on its profit.

    If the coporation doesn't sho a profit, no tax is due!

    If the corporation buys, hardware, advertising, software, buiness lunches, pays for mileage, pays for internet services, it is doing so with pre-tax money!

    If you as an individual are in the 20% tax bracket, everythng that you buy as an individual actually costs you 20% more because you are paying 20% tax on every dollar that you earn and it make no difference if you show no profit at the end of the year!

    A corporation pays tax only on its profits, not its gross income!

    Now you as an idividual may be liable for tax on monies that the corporation pays to you but you will not be using that money for hardware, software, etc, because the corporation handled all those things as expences and ended up paying no tax on the money used to make the purchases!

    Basically, a corporation can do any financial thing that a person can do but can do it and pay less in tax than a person.

    It sounds like your saying the way to pay no taxes on a corporation is to spend all the profit. So if I have $1,000 profit... I spend $1,000 and show $0 profit, thus no taxes. Is that what you are saying? That's simple accounting 101.

    Or is there a grander scheme you know of where you can avoid corporate taxes without spending all the profit?

    or take some grand vacations....just make sure to do a couple of "business meetings and/or dealings" so you can write it off :)

    OK, let's look at the larger scene here!

    "Spending" does not mean spending money like a little kid at the ten-cent candy store!

    What we want is for the corporation to end up with little or no cash on hand at the end of the tax year but this lofty goal does not necessitate blowing money like a drunken sailor!

    Let us say that your corp has $300K in the bank. Nice but the corp is going to have to pay some tax.

    Let us also say that you need a new house.

    Resolve for the corp to guy the house for cash and then lease the house to you.

    Or sell you the house on a registered contract.

    Let us say that the corp needs a vehicle for corporate use.

    Resolve that the corp buy a vehicle for use in corp biz by the biz agent, i.e., you.

    Or that the corp buys the car and then leases it you you.

    There are other examples; dozens, in fact!

    "Spending" does not mean just emptying the corp account for the sake of emptying it!

    I'd be interested to buy if the package could include:
    1) Google checkout account
    2) US Bank account
    3) office to receive personal checks and forward them to my bank.

    I don't have a SS#, and understand that a bank account now requires an in-person visit to the branch to setup. E-trade provides online brokerage accounts which are similar to bank accounts, but I'd like a real bank account.

    You do not need an SSN to set up the service.

    That E-trade shit no longer works, by the way; at least not in the long term.

    Don't bother with that piece of shit Yahoo! Messenger as it times out on me all the time!
