for me, everything has always been more casual and verbal. I have never written an SEO contract. I am dealing with a guy who wants everything on paper.

I know I can google it and come up with some sample contracts, but my main question is, what kind of guarantee do you guys offer, so your ass is not on the line?

obviously, you cant write in the contract "we will rank you #1 for x y z" because what if that doesn't happen?

you also cant write "we make no guarantees, your rankings may increase or decrease" because the client will think "go fuck yourself, I am not paying you"

I guess I am looking for a clause that would sound good to the client, but also protect me as much as possible?

    How about something like:

Or words to that effect, I'm no legal expert so maybe someone else has a better solution.

Just use an implied guarantee along with a disclaimer. That way, you will have something to defend yourself with just in case the client isn't pleased by the results in the end and decides to dispute the terms of the contract.

There is not contract that can protect you in SEO because you can't control the ranking, you're not the main ranking provider, that are the searching engines. I strongly suggest to make a service contract that will imply the fact that you will create a number of BL for their website. If you sign a contract that will have as purpose to get the site on a position referring to a searching engine you can be accused very easy for false signature because you can't provide this from start since you're not the owner of that service. I'm talking from my personal experience and I hope that I made clear for you with my poor English.
As conclusion - don't put yourself under the fire unless is really necessary and even then don't try to put yourself on a sit that doesn't belongs to you.
