Redesigning a website, but I don't want to lose it's rank

    I'm working on a retail website for my dad, and it hasn't seriously been updated since 1993. (It was updated last in 2009, but you wouldn't believe it unless you read the date.) It's ranked pretty well for a few keywords and getting about 80-300 unique visitors per day, but it has a pretty high bounce rate because of the outdated design, yet it still manages to sell a few things here and there.

    So, my question is this. How much can I get away with changing on this website without losing rank?

    Would I be able to give it a complete overhaul, completely new div structure and inner link structure? I know I need to 302 redirect from the old urls to the new ones and preserve the wording, but what all does google look for when a website is updated?

    apart from the layout, I'd like to change the page structure to something like this.
    productcategory_pageA_C.htm (from a to z) -> /category.html?page=1 (to page whatever)
