Usually IM cames up with ideas, and then look for programmers to code it. Well, in this case just the opposite:

I came up with an idea for a niche twitter site, with a great potential of direct income. It's something like twitterlater.com, that target marketers using twitter to earn money, but my idea is new and as far I can tell, there is nothing like this in Internet

Why a JV?

I'm not doing so well with money, and I've no way to pay the cost related to development, graphics design and promotion.

Whay do I offer?

The idea and all the coding. I'm a pretty good coder, with many years in the corporate world.

What do I need?

In a word: money. Not much actually

What can you do with the tool?

I can think of 2 things: flip it in sitepoint, or keeping it to make it profit.

How will this JV will work?

My first Idea is to give total resell rights, I'm not sure how to say this in a legal way, but the software will be yours in the end. I will not compete in the niche anymore, and I will sign any document that must my signed.

If you have another idea on how to do this, I'm open to hear you out.

I think the best way to handle this, is like when you hire someone to code for you: regular iterations, implementing more and more features, rounds of testing and also regular payments. Submision of Iteration code against payment. This way, I will be seeing money regularly, and you will have the code as it is done
