I think all you have to do is Google "Non-Compete Form" or "Non-Disclosure Agreement"
There's lots of sites that have legal forms you can download for free. Still, you should have a lawyer look at it and give you the ok as far as its legality concerning your needs.

This wasn't proof-read very well and certainly would need going over before use. It would have been slightly better if it had been made available as plain text or a Word doc rather than PDF.

It was developed as a template not an out of the box solution. If you are serious about joint venturing you will have to edit this and supplement with a legitimate contract as I have stated above.

I'd expect a template to be even better - but, for example, have a look at 5.4. Misses out the letter B - which is important when you are differentiating between A and B don't you think? And it may be obvious (particularly now I've pointed it out) but if some one was using this as a template and simply substituting for Company A and Company B then they'd be a bit screwed.
I'm guessing that nobody who downloaded this noticed. If that bit is wrong, what else is?
Like I say - legal stuff has to be perfect - near isn't near enough.

I've read the rules - nothing in there saying "Don't question moderators".
And I'm not. I'm just trying to point out that this template isn't complete/correct. If it gets used - as it is - then it's faulty and won't stand up in any court. And the most likely use of it would be substituting for both company names (which won't work).
To me that's the equivalent of someone in, say, the 'Downloads' section here warning that some software has a trojan in it. That is something I would have thought would have moderator approval - as it seems this forum is all about helping people. As indeed, the supply of this template proves. It was meant to help. As was my initial follow up post - complete with smiley face.

Let me see...
a) Malicious executable could screw my PC - and possibly, as a result, my business.
b) Using legal document that doesn't do what I think it does could screw my business and me.
Which am I more afraid of? Well, I have a PhD in Business - I think I'll go with b. (I back up my PCs and have good anti malware protection). Generally speaking you won't suffer an open ended lawsuit with malicious software (unless, of course, you wrote it
)As I said in the very first post - I'm not trying to have a go at you or put down your assistance to other people. I'm just trying to point out that there is at least one error in that document and it shouldn't be used as is.
At the end of the day - all I was doing, like you, was trying to help. If you don't think it was helpful to point out errors, well, that's down to you.

I can tell you are the kind of person that always has to be right. As I already stated above, it is a TEMPLATE which means you will have to have some editing done to fit your specific situation. That is simply common knowledge; if i get a template for a website, form, resume, layout, etc it will have to be modified with your specific details in order for it to make sense. In using this for anything large scale, I would suggest some professional editing and legal consultation.
Everyone should use this at their own risk/discretion just like everything else on the forum.
