incorp keeps charging me

Has anyone here used Incorp to form a corporation? I did and a year later I have 2 LLCs I haven't used, but Incorp keeps trying to charge me and emailing me every week. Reading through their TOS, it seems I was supposed to either cancel or change the LLCs if I didn't want to be charged.

But my real question is, can I just ignore them? Will incorp fuck up my credit or anything if I don't pay them? I don't care what they do with the LLCs.

I've used them before, and let me tell you, I will never use them again. If you are not using your corps or LLCs, you must* have them dissolved. You need to find out from the state of Nevada how to dissolve these entities and then you probably need to send a date-stamped certificate of dissolution or some such to InCorp, who will then cancel your account. Maybe. I say "maybe" because they will probably continue to charge you, even after you request cancellation and send them official documentation. You just have to be really aggressive with them if they do this to you.


* To clarify, even if you're not using the LLCs but you don't want to get to rid of them because you may use them in the future, you still need to pay for the registered agent because it's illegal not to have one. In other words, you still need a registered agent for "shelf" LLCs or corporations.

yes all offshore companies will nail you with the recurring yearly charges unless you dissolve or transfer somewhere else. you can sell your already made companies at various sites, or probably here so ppl can open offshore bank accounts under a LLC

What are you talking about? The company in question provides registered agents for business entities in the United States, where each state requires your LLC or corp to have a registered agent, regardless of your intentions to "use" the entity or let it sit on the "shelf".

I believe the recurring charge is for providing the service of "agent of process". Yes, they charge 100 to 200 dollars each year. That charge is legit and has nothing to do with running the corp. (You probably failed to file tax returns as well ).
Two choices: You know someone in the state of incorporation and have him be the agent. (Agent simply means, your LLC can be sued by giving the complaint to the agent).
Or, you move your LLC to your home state and be the agent yourself.

Cleaning up LLCs is pretty messy, because before you can dissolve them, you often need a certificate from the tax authorities that you paid all your taxes.
