    Default Incorporating in Las Vegas Question

    I'm looking to make a big move and incorporate (LLC) and wanted to know if anyone actually has their business incorporated in Las Vegas, but does business or has their office/home office in another state. If you don't mind, I'd like to shoot a few questions about doing this. My business would be physically located in Texas in my home.

    Anyone with first hand experience mind if I pick your brain? You could PM me.

    You'd probably get better response from a small business forum, or a forum specifically for Nevada Corporations. I formed one a few years back with a former business partner, but we have since dissolved the partnership.

    As far as Nevada Corporations go, I wouldn't consider myself an expert. But as far as distancing my personal affairs from my business, it was amazing. But you don't just have to stick to Nevada. Delaware and Wyoming offer very similar benefits, and you won't (typically) have a schmuck lawyer charge you an arm and a leg to set one up.

    Thanks for the replies. After doing some reading, I have come to the conclusion that it would be more beneficial for me to just file a Texas LLC.

    Incorporating in Nevada is one of the best places to Incorporate. I have researched it extensively. They Incorporation model is based on the model they use in Delaware, which is also one of the best States to incorporate in. It runs about $400-$500 I believe. You don't have to live there or have an office there to incorporate in Nevada. Also, Nevada doesn't have any corporate state sales tax, which is a nice little bonus. They are also very strict about releasing any information about your corporation to the government.....A.K.A. the I.R.S. Hope this helps.

    I started an LLC, but after reading this I wish I would have looked into this more. Would have saved me a ton of money in the long run. Maybe I will have to set up a new one to run all my business through in 2012.

    I have two Nevada LLCs, which are great, but the resident agent that I go through believes that Wyoming is now the best state (though Nevada is still one of the top 3) because Wyoming has better privacy and less annual fees now that Nevada has an annual business license fee etc.

    If I was incorporating again I believe I'd do Wyoming and may switch mine over there at some point soon.

    P.S. I go through nevada.org and if you call them up, they're very knowledgeable and helpful over the phone. Highly recommended.

    Not to threadjack, but I'm thinking about opening a virtual office in Las Vegas and getting an LLC set up. These guys look pretty good and I've read some positive things about them. Does anyone have any experience with them?

    I did some research last year and New Mexico was a great option. No reporting requirements. Set up your forwarding address in another state. Just throwing that out there.

    I believe Delaware and Nevada are the best options. Just go for the cheapest state with least reporting requirements.
